Atom Terms of Service (ATOS)

PLEASE READ THIS ATOM TERMS OF SERVICE AGREEMENT CAREFULLY, AS IT CONTAINS IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS AND REMEDIES INCLUDING CONSENT TO MANDATORY ARBITRATION FOR ANY DISPUTES ARISING OUT OF THIS AGREEMENT OR ANY SERVICE AGREEMENT.

Welcome to Atom, which is provided by Squadhelp LLC (collectively such entities will be referred to as “Atom”, “we” or “us”). These Atom Terms of Service (“ATOS”) (this “Agreement”) is entered into between you and Atom effective as of the date or your use of www.atom.com (the “Website”) or the date of electronic acceptance. This Agreement governs your access to and use of the “Website” as well as any and all content, functionality and services offered on or through the Website (collectively, the “Services”). Any agreements, arrangements and/or additional policies that apply to certain Services ("Services Agreements") and are in addition to (not in lieu of) this Agreement. In the event of a conflict between the provisions of a Services Agreement and the provisions of this Agreement, the provisions of the applicable Services Agreement shall control. We may amend this Agreement at any time by posting the amended terms on our Website. In addition, we may occasionally notify you of changes or modifications to this Agreement and/or any Services Agreement by e-mail. Therefore, it is critical to keep all of your information current in your Atom account. We assume no liability or responsibility for your failure to receive an email notification if such failure results from an inaccurate email address.

Your Agreement with Us; Order of Precedence

  1. Contracting Entity. Your agreement is with Atom and, where relevant, its affiliates or service providers that operate a particular Service. References to “we,” “us,” or “our” mean that contracting entity.
  2. Binding Agreement. By creating an account, using any Service, or otherwise indicating acceptance, you agree to be bound by:
    1. these Atom Terms of Service;
    2. any Service Agreement or Addendum that applies to the specific Service you use (for example, the Marketplace & Creative Services Addendum or the Domain Registration Services Addendum);
    3. any Guidelines or policies that we publish on our Website and reference in those documents. Together, these documents form the Agreement.
  3. Updates to the Agreement. We may update these ATOS or any Service Agreement from time to time by posting the revised version on our Website with an effective date at the top. If the change is material, we will notify you by email or through your account before it takes effect. Your continued use of the Services after the effective date means you accept the updated terms.

Acceptable Use

  1. General Obligation. You agree to use the Services lawfully, responsibly, and only for their intended purposes. You must comply with these ATOS, all applicable Guidelines, and any Service Agreement that applies to the specific Service you use.
  2. Prohibited Conduct. You may not, directly or indirectly:
    1. use the Services in any way that violates any law, regulation, or the rights of others;
    2. upload, post, transmit, or otherwise make available any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable;
    3. infringe or misappropriate any Intellectual Property Right, trade secret, or other proprietary right;
    4. send spam, chain letters, junk mail, or any other form of unsolicited or duplicative messages;
    5. upload or distribute malware, viruses, spyware, or any code intended to disrupt or damage systems or data;
    6. forge headers or otherwise manipulate identifiers to disguise the origin of any communication;
    7. interfere with, disrupt, or degrade the operation or security of the Services, any servers or networks connected to the Services, or any other User’s experience;
    8. attempt to gain unauthorized access to any portion of the Services, another User’s account, or any computer system or network;
    9. resell, sublicense, rent, lease, or otherwise make commercial use of the Services except as expressly permitted in these ATOS or an applicable Service Agreement;
    10. create or maintain multiple active accounts, impersonate another person or entity, or misrepresent your affiliation with any person or organization;
    11. use the Services to launder funds, transfer money between accounts without a legitimate transaction, or otherwise engage in fraudulent or deceptive conduct;
    12. collect or store personal data about other Users except as necessary for legitimate transactions within the Services and in compliance with applicable law;
    13. host or promote a Contest, Domain listing, or transaction on behalf of a business that directly competes with Atom;
    14. cancel a Contest or transaction in order to use a Creative’s Entry, Domain, or other work without proper payment;
    15. contract separately with a Creative, Seller, or Buyer met through the Services in order to circumvent any Atom fees;
    16. award a Contest to a friend, family member, colleague, or any person with whom you have a pre-existing relationship that compromises the fairness of the Contest;
    17. request or share private contact information (such as email addresses or phone numbers) with other Users for the purpose of moving transactions off the platform without express consent;
    18. use any automated means (including bots, crawlers, or scrapers) to access or collect data from the Services without our written permission.
  3. Enforcement and Remedies. We may investigate any suspected violation of these ATOS or applicable law. We reserve the right to:
    1. suspend or terminate your User Account or access to any Service;
    2. remove or disable access to any Content or material that we believe violates these ATOS or law;
    3. withhold or cancel payments, credits, or pending transactions; and
    4. take any other action we deem appropriate, including legal action or referral to law-enforcement authorities.

Payments, Credits, Taxes, and Refunds

  1. Payments. All payments for Services must be made through one of Atom’s authorized payment providers. By submitting payment information, you authorize Atom or its payment processor to charge the specified amount.
  2. Verification of Transactions. Atom may require additional verification from the Buyer or Seller before processing a payment or transfer. A sale or order is not final until the transaction has been verified, approved, and—where applicable—ownership of the relevant Domain, Entry, or asset has been successfully transferred.
  3. Atom Credits. You may request a withdrawal of eligible Dollar Credits at any time through a supported method (such as PayPal or Payoneer).
  4. Refunds. Refunds are governed by Atom’s Refund Policy and any applicable Service Agreement. Refund requests must be made within seven (7) days of the transaction.

Intellectual Property

  1. Ownership of Atom Materials. Atom owns all Intellectual Property Rights in and to the Services, including all software, databases, systems, interfaces, and visual designs.
  2. Your Content. By submitting, uploading, or otherwise providing User Content through the Services, you grant Atom a worldwide, non-exclusive, transferable, sublicensable, royalty-free license to host, reproduce, display, distribute, and use your User Content as necessary to operate, promote, and improve the Services.

Indemnification

  1. Your Obligation to Indemnify. You agree to indemnify, defend, and hold harmless Atom against any claims, demands, actions, losses, damages, liabilities, and expenses arising out of or relating to your use of the Services.

Dispute Resolution and Arbitration

  1. Agreement to Arbitrate. ANY DISPUTE, CLAIM, OR CONTROVERSY BETWEEN YOU AND ATOM WILL BE RESOLVED BY FINAL AND BINDING ARBITRATION INSTEAD OF IN COURT.
  2. Governing Law and Venue. These ATOS and any arbitration or court proceedings arising under them are governed by the laws of the State of Illinois.

General Terms

  1. Entire Agreement. These ATOS, together with any applicable Service Agreements and incorporated policies, constitute the entire agreement between you and Atom.
  2. Amendments. Atom may amend these ATOS at any time by posting the updated version on its Website or by providing notice through your User Account.
  3. Notices. Any notice to Atom must be in writing and delivered by certified mail or courier to the Atom Legal Department or by email.

Acceptance and Effective Date By clicking “I Agree,” creating an account, or continuing to use any Atom Service after being presented with these Atom Terms of Service (“ATOS”), you acknowledge that you have read, understood, and agree to be bound by them.
